Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, dashboards, and platforms operated by Masaar OS (referred to in these Terms as "we", "us", or "our") (together, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to enter into a binding contract to use the Services. If you use the Services on behalf of a business or other organisation, you represent that you are authorised to bind that entity to these Terms.

2. Accounts and registration

Some features require an account. You agree to provide accurate and complete information, to keep it up to date, and to keep your login credentials confidential. You are responsible for all activity that occurs under your account, and you must notify us promptly of any unauthorised use.

3. Acceptable use

You agree not to:

• use the Services in violation of any applicable law or regulation;
• access, tamper with, or use non-public areas of the Services without authorisation;
• interfere with or disrupt the integrity or performance of the Services;
• attempt to gain unauthorised access to any system, account, or data;
• copy, scrape, or harvest data from the Services except as expressly permitted;
• upload malicious code, or use the Services to transmit harmful or unlawful content; or
• misuse, resell, or exploit the Services in any unauthorised manner.

4. Orders and services

Certain Services facilitate orders, transactions, or operational workflows, in some cases on behalf of the businesses we serve. Where an order or service is provided by a business, merchant, or partner, that business is responsible for the product or service, and any cancellations, refunds, or related matters are handled in accordance with applicable law and the relevant business's policies. We are not a party to those transactions except where expressly stated.

5. Payments and fees

Where the Services involve fees or payments, you agree to pay all applicable amounts. Payments may be processed by third-party payment providers, and you agree to their terms in addition to ours. You are responsible for any taxes that apply to your use of the Services, except for taxes based on our net income. Unless stated otherwise, fees are non-refundable except where required by applicable law.

6. Intellectual property

The Services — including all content, software, designs, logos, and trademarks — are owned by us or our licensors and are protected by applicable laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works from the Services without our prior written permission.

7. User content and submissions

You retain ownership of the content you submit through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, host, store, reproduce, and process it as necessary to operate and provide the Services. You are responsible for your User Content and represent that you have the rights necessary to submit it.

8. Third-party services and links

The Services may integrate with, or link to, third-party services that we do not control. We are not responsible for the availability, content, or practices of those third parties, and your use of them is at your own risk and subject to their terms.

9. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Masaar OS and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Services. To the maximum extent permitted by law, our total liability for any claim relating to the Services will not exceed the amount you paid us, if any, for the Services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Masaar OS and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

12. Suspension and termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

13. Changes to the Services and these Terms

We may modify or discontinue the Services, in whole or in part, at any time. We may also update these Terms from time to time; when we do, we will revise the "Last updated" date above. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Kuwait, without regard to its conflict-of-laws rules. The courts located in the State of Kuwait will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, unless applicable law requires otherwise.

15. Miscellaneous

• Entire agreement. These Terms, together with any policies referenced here (including our Privacy Policy), constitute the entire agreement between you and us regarding the Services.
• Severability. If any provision is found to be unenforceable, the remaining provisions will remain in full effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
